General Terms of Delivery

  1. These General Terms and Conditions of Delivery shall apply unless the parties to the contract have agreed otherwise in writing.
  2. A contract shall be deemed concluded if, after receiving an order from the Buyer, the Seller has sent a written order confirmation.
  3. The Seller shall be bound by the Buyer’s terms and conditions only if they have been expressly accepted by the Seller in written form.

PRICE AND DELIVERY TERMS

  1. Unless otherwise agreed by the parties, the price of the goods is specified in EUR on EXW Stara Tuchorza, Poland terms, in accordance with Incoterms 2020.
  2. Payment terms:
    • prepayment
    • All financial services outside the territory of Poland must be handled by the Buyer.

PACKAGING AND LABELLING

  1. The goods are delivered in tightly sealed blue plastic bags and cartons.
  2. The packaging should ensure the safety of the goods, taking into account possible transhipments.
  3. The goods should be labelled in accordance with the arrangements agreed by both parties.

QUALITY AND SAFETY REQUIREMENTS FOR GOODS

  1. The quality of the delivered goods must strictly correspond to the commercial samples previously approved by the parties.
  2. The Seller guarantees the quality of the delivered goods for a period of 6 months from the date of shipment.
  3. The Buyer has the right to submit quality claims to the Seller during the warranty period, but no later than within 21 days from the date the defect is identified, in written form (e-mail or post).
  4. Goods deemed defective may not be destroyed without the Seller’s consent. The Seller reserves the right to have the defective goods returned at its own expense via the Buyer or to resolve the issue in a manner agreed by both parties.
  5. The Seller reserves a period of 21 working days from the date of receipt of the complaint to consider the claim.
  6. The Seller shall not be liable for goods improperly stored by the Buyer.

LIABILITY OF THE PARTIES

  1. The Seller’s liability is limited to the place where the goods are delivered by the Seller.

DISPUTE RESOLUTION

  1. All disputes shall be resolved amicably between the parties.
  2. If the parties fail to reach an agreement, disputes shall be resolved in accordance with the Arbitration Rules of the International Chamber of Commerce (Paris, France). The place of arbitration shall be Poznań, Poland.
